1. Who we are

AmazonReady ("AmazonReady", "we", "us") is operated by UAB Agropliuso transportas, a company registered in Lithuania, company code 305136950, registered address J. Bobrovskio g. 13-108, Vilnius, Lithuania. By creating an account or using the service you enter into a binding agreement with UAB Agropliuso transportas.

2. Acceptance

By accessing or continuing to use AmazonReady you agree to these Terms. If you do not agree, you must stop using the service. You confirm you have authority to bind your business (if applicable) and are of legal age in your jurisdiction.

3. The service

AmazonReady is a software-as-a-service tool that synchronises Shopify product catalogs to Amazon Seller Central, including category mapping and listing publication. The service is provided on a subscription basis with a free trial period.

4. Acceptable use

You agree not to:

• use the service for any unlawful, fraudulent, or deceptive purpose;
• infringe intellectual property or publicity rights of any third party;
• upload malware, attempt to probe, scan, or compromise the security of the service;
• scrape, reverse engineer, or resell access to the service;
• use the service to spam, mislead consumers, or violate Amazon or Shopify policies.

5. Account credentials

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

6. Intellectual property

AmazonReady, including all software, documentation, and branding, is owned by UAB Agropliuso transportas or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have purchased. All rights not expressly granted are reserved.

You retain ownership of your product data and content. You grant us a limited license to host and process that content solely to provide the service.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms.

Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled. You can cancel at any time from the billing portal; access continues until the end of the paid period.

8. Service level

We work hard to keep AmazonReady running, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. On termination, your right to use the service ends and we may delete your data after a reasonable export window.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the service is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where such limitation is not permitted by law.

11. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the Republic of Lithuania. Disputes will be resolved before the competent courts of Vilnius, Lithuania, except where mandatory consumer protection laws of your country of residence provide otherwise.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email or in the product. Continued use after the changes take effect constitutes acceptance.
